How does the Xpancom Reseller Program work?
It's pretty simple. When you sign up as a reseller you choose a Reseller Plan and pay the first month's hosting (Setup fees are waived!). You bill your customers directly and charge whatever you want. We bill you once per month.

How do I qualify for the Xpancom Reseller Program?

Will my customers know Xpancom actually provides their hosting service?
No. Your customers will FTP, browse, and send & receive email through the account's domain name. Thus, this allows for a complete virtual presence on the Web. This also allows you to claim the Xpancom hosting services as your own and charge whatever price you wish to your customers. Xpancom does not have any regulations on such pricing, but recommends you charge the same price as Xpancom's regular rates.

How is domain name registration and transfer handled?
Xpancom will register any new domain names you need and bill you at our regular rate. You can then bill your customer whatever price you wish. For domain names you want to host that require transfer, we will locate the appropriate registrar and submit the transfer request for no charge.

How many accounts should I have to take advantage of this program?
You can start with just one account, your master account. We will help grow your business with a variety of value-added services that we provide to you as part of your low monthly payment.

How am I billed for the master and each resold account?
We keep it simple! You can create domains 24/7 and charge your clients what you wish. Your master account will be billed at the same rate each month based on your Reseller Plan. Your monthly payment will not change until you need more domains than the allotted number for the package you are signed up with. And, upgrading as your business grows is easy.

Who will provide technical support to my clients?
You the reseller will be responsible for support to your clients. Xpancom will provide technical support to you or your staff and on special occasions to your end-users only at your request. Generally, Your clients should never contact, or even know of Xpancom, as you are the contact for all technical, sales, billing, and other support questions.

Xpancom Web Hosting Reseller Agreement

This Xpancom, LLC Web Hosting Reseller Agreement ("Agreement") is between Xpancom, LLC ("Xpancom"), and ____________________________________. ("Reseller") to provide Virtual Web Hosting ("Hosting") to Reseller and Reseller clients on Xpancom's network of shared servers.

Qualification - Acceptance of these terms and the master domain account hosted with Xpancom (Part of the monthly fee).

Relationship - Reseller is an independent contractor and not a partner, joint venture, franchisee, agent, or employee of Xpancom. Reseller shall not represent their relationship with Xpancom as anything other than an independent contractor or reseller. As well, Xpancom, LLC shall not refer to Reseller as anything other than a reseller, independent contractor, consultant, or other designation as expressed by Reseller and agreed upon by Xpancom.

Billing - Xpancom will bill Reseller by credit card for all services each month from the time of inception. Other terms may be extended solely at the discretion of Xpancom. Reseller is responsible for billing Reseller's clients. Reseller is solely responsible for income, taxes and expenses related to this Agreement.

Account Cancellations - Reseller must submit a signed statement to Xpancom specifying the date of account termination and web site address to be terminated. Reseller must give a 30 day notice and final month's payment in the event of Reseller cancellation.

Content - Although Xpancom has a policy of not monitoring or policing the content you place on our servers, when questionable material comes to Xpancom's attention, Xpancom reserves the right to remove without notice any content that, in Xpancom's sole opinion, may result in a violation of any federal, state, common or international laws or regulations or that may be offensive to Xpancom or to other users.

Waiver of implied warranties - With respect to Hosting, Xpancom provides services to Reseller and Reseller clients on an "as is" basis. Xpancom EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

Waiver of Damages - Xpancom assumes no liability for any loss, injury, claim, liability or damage of any kind including loss of business, lost profits, lost data, or failure of security resulting in any way from Reseller's or Reseller clients' use of the Hosting, including without limitation any errors or omissions, any content, any delay or failure of performance, or the unavailability or interruption of service. Accordingly, Xpancom SHALL NOT BE LIABLE FOR DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES OF ANY KIND WHATSOEVER, WHETHER OR NOT FORSEEABLE (INCLUDING, WITHOUT LIMITATION, ATTORNEYS' FEES) IN ANY WAY DUE TO, RESULTING FROM, OR ARISING IN CONNECTION WITH THE WEB HOSTING SERVICES OR THE FAILURE OF A PARTY TO PERFORM ITS OBLIGATIONS, REGARDLESS OF ANY PARTY'S NEGLIGENCE. RESELLER ALSO AGREES TO INDEMNIFY AND HOLD HARMLESS Xpancom FROM ANY CLAIMS RESULTING FROM THIS AGREEMENT. Termination of this Agreement shall be Reseller's sole and exclusive remedy for any and all damages or injury.

General - If any provisions of this Agreement are deemed invalid or unenforceable under applicable law, the remaining provisions will continue in full force and effect. Xpancom's failure to enforce any provision of this Agreement shall not constitute or be construed as a waiver of that provision or of the right to enforce it at a later time. This Agreement shall be governed by the laws of the State of Delaware. This Agreement contains the entire understanding between Xpancom and Reseller for provision of Hosting. This Agreement supersedes and cancels any and all prior and contemporaneous oral and written understandings or agreements on this subject matter, except the Hosting Terms & Conditions. Continued use of Xpancom services constitutes continued acceptance of this Agreement, including any and all modified terms.
